1. These Haya Pass Terms of Use (hereinafter referred to as "these Terms") are intended to define the rights and obligations between the Company and Users regarding the use of the Haya Pass service (hereinafter referred to as "Haya Pass") provided by Haya Pass Co., Ltd. (hereinafter referred to as "the Company"), and shall apply to all matters relating to the use of Haya Pass between Users and the Company.
2. Rules regarding the use of Haya Pass published by the Company on its website or elsewhere shall form part of these Terms.
3. In the event of any discrepancy between the provisions of these Terms and the rules referred to in the preceding paragraph or any other descriptions of Haya Pass outside these Terms, the provisions of these Terms shall take precedence.
Haya Pass is a service that enables users, by purchasing tickets (including free tickets; hereinafter referred to as "Haya Pass Tickets"), to gain priority entry to restaurants, facilities, events, etc. with queues (hereinafter referred to as "Participating Establishments, etc.") and to purchase goods on a priority basis. Haya Pass aims to maximise revenue for restaurants and other establishments, whilst providing users with the value of time.
1. Haya Pass is a platform service that provides users with a "venue" for transactions to purchase Haya Pass Tickets from Participating Establishments, whilst also providing information on such establishments.
2. The purchase of Haya Pass Tickets by users via Haya Pass is conducted directly between the user and the Participating Establishment. The Company shall not be a party to any transaction relating to Haya Pass Tickets and shall bear no responsibility for such transactions. Consequently, should any dispute arise in connection with a transaction with a Participating Merchant, it must be resolved directly between the User and the Participating Merchant.
The Company grants the User a licence to use Haya Pass and the content, information, etc. provided through Haya Pass for non-commercial purposes, subject to the User's compliance with these Terms and Conditions.
1. Users shall complete the registration procedure to become a member of Haya Pass (hereinafter referred to as a "Haya Pass Member") in accordance with the procedures prescribed by the Company.
2. When completing the registration procedure referred to in the preceding paragraph, Users shall provide accurate information.
3. If there are any changes to the registered details after completing the registration procedure referred to in paragraph 1, Users shall promptly update the registration details.
1. Users shall be solely responsible for the registration and management of their login accounts and passwords (hereinafter referred to as "Login Accounts, etc."). The Company shall not be liable for any damages arising from insufficient management by the user, errors in use, or use by third parties. Furthermore, users shall use Haya Pass at their own risk and shall comply with the provisions of the relevant terms and conditions stipulated by the Company regarding the use of Haya Pass. The Company shall not be liable for any damages arising from the use of Haya Pass, or for any disputes arising between the relevant service operator and the User.
1. Haya Pass Members may purchase Haya Pass Tickets from participating stores, etc., via the Haya Pass website, using the method specified by the Company.
2. Only Haya Pass Members who have purchased a Haya Pass Ticket may receive the Haya Pass service.
3. Haya Pass Tickets are valid only at the participating establishments specified on the ticket and within the designated time period. Furthermore, each purchased Haya Pass Ticket may be used only once.
4. Unless otherwise stipulated in these Terms and Conditions, Haya Pass Members shall pay the usage fee stated on the Haya Pass website as consideration for the purchase of Haya Pass Tickets by registering a credit card designated by the Company and settling the payment, or by any other method separately determined by the Company. However, when purchasing a Haya Pass Ticket with a usage fee of zero yen (hereinafter referred to as a "Free Haya Pass"), the Haya Pass Member shall follow the purchase procedure prescribed by the Company and shall not be required to pay the usage fee.
5. When a Haya Pass Member uses a Haya Pass Ticket at an eligible store or venue, Haya Pass shall be provided, and the Member shall be granted the right to priority purchase of goods at the eligible store or venue, or the right to be directed to the front of any queue forming at the eligible store or venue, or the right to priority entry to the premises (where there are multiple Haya Pass Members who have purchased Haya Pass Tickets for the same eligible store and the same eligible date and time, the order of priority among Haya Pass Members shall be determined by the order in which the Haya Pass Tickets are used). This completes the provision of the Haya Pass.
1. Except in cases where the Company acknowledges its own negligence, or where the participating venue is temporarily closed after the purchase of a Haya Pass Ticket, cancellations after purchase are not permitted under any circumstances.
2. Cancellations or refunds will not be permitted even if the validity period of a Haya Pass Ticket expires whilst it remains unused.
3. We will not accept cancellations or refunds of Haya Pass Tickets even if there is no queue when the user visits the participating establishment.
4. Whether or not the user actually utilises the participating establishment is solely at the discretion of the Haya Pass member after the provision of the Haya Pass service and shall not constitute grounds for cancellation or refund of the ticket.
1. Users shall not use or access Haya Pass for the purpose of business activities or other acts intended for profit, or acts equivalent thereto, or preparatory acts for such purposes. Furthermore, users shall not use or access Haya Pass for the purpose of religious activities, political activities, or similar purposes.
2. Should a user derive any benefit from the information published on Haya Pass, the Company shall have the right to claim an amount equivalent to such benefit as compensation for the Company's damages. However, should the Company incur damages exceeding the amount equivalent to such benefit, the Company shall not be precluded from claiming compensation for such damages.
1. The Company may, at its discretion, determine the content of the Haya Pass service and make changes thereto at any time.
2. Should the Company change the content of the Haya Pass service, it shall publish details of such changes on its website or other appropriate channels.
1. The Company makes no warranty whatsoever regarding the accuracy of information concerning Participating Shops and other establishments. The Company shall not be liable for any damages incurred by users as a result of such information.
2. The Company shall not be involved in any disputes between users and Participating Shops and other establishments, or between users themselves. We shall not be liable for any damages incurred by users arising from such disputes.
3. If we determine that there are reasonable grounds to believe that an act has been committed, or is likely to be committed, in breach of these Terms and Conditions, we may forcibly cancel the registration of the Haya Pass member who committed such act. We shall not be liable for any damages incurred by users as a result of such cancellation of registration.
4. We shall not be liable for any damages incurred by users in connection with the use of Haya Pass. However, where the contract between us and the user constitutes a consumer contract under the Consumer Contract Act, and where we are liable for damages arising from breach of contract or tort in connection with the use of the Service, we shall be liable to compensate the user only for ordinary damages that have actually and directly arisen, except in cases of wilful misconduct or gross negligence.
5. In order to use Haya Pass, the User must have access to the internet. With regard to internet access, the User must, at their own responsibility and expense, appropriately prepare and operate the necessary hardware and software; the Company is not involved in any way in the User's preparations or methods for accessing the internet. Furthermore, the Company shall not bear any costs incurred by the User for communications in order to use Haya Pass, nor any costs incurred by the User in making enquiries to the Company.
1. If the Company determines that any of the following grounds apply, it may, after giving prior notice to the User, modify the content of Haya Pass or temporarily suspend the provision of Haya Pass for the period necessary to ensure its normal operation. However, in cases where prior notice is difficult, such as when the Company deems it highly necessary to suspend the service immediately, such prior notice may be replaced by subsequent notification to the User.
① When carrying out maintenance, inspection or updates to Haya Pass
② When the provision of Haya Pass is difficult or impossible due to force majeure, such as fire, power cuts or natural disasters
③ When a sudden malfunction or similar issue occurs with Haya Pass
④ When the provision of Haya Pass is difficult or impossible due to the occurrence of unforeseen circumstances
⑤ In addition to the preceding items, where the Company deems it necessary to suspend the provision of Haya Pass
2. The Company shall not be liable for any damages incurred by the User as a result of the suspension of Haya Pass in accordance with the provisions of the preceding paragraph.
1. All copyrights (including the rights stipulated in Articles 27 and 28 of the Copyright Act), trademark rights, other intellectual property rights, and other property rights relating to the content, individual information, trademarks, images, advertisements, designs, etc. contained within Haya Pass belong to the Company or the legitimate rights holders, including the participating stores.
2. Users may not reproduce, edit, modify, publish, reprint, publicly transmit, distribute, sell, provide, translate, adapt or otherwise utilise or use Haya Pass or its contents in any manner whatsoever, except where they have been granted permission to do so by the Company or a third party holding copyright or other intellectual property rights and other property rights, or where such utilisation or use is permitted by law without the rights holder's consent.
3. The Company shall not be liable for any damages incurred by the User as a result of acts in breach of the preceding paragraphs. Furthermore, should the User derive any benefit from such acts, the Company shall be entitled to claim an amount equivalent to such benefit as compensation for its damages. However, this shall not preclude the Company from claiming compensation for damages exceeding the amount equivalent to such benefit should the Company incur such damages.
1. The Company prohibits Users from engaging in the following acts when using Haya Pass.
① Except where specifically permitted by law, these Terms and Conditions or the Guidelines, copying, reproducing, transmitting, transferring, distributing, reselling or storing the information provided by Haya Pass for the purposes of such acts, or storing it for such purposes, without the Company's prior written consent;
② Violating these Terms and Conditions (including the terms and conditions of external payment service providers) or the Guidelines;
③ Acts contrary to public order and morality
④ Acts that lead to or encourage illegal acts, criminal acts or acts posing a serious danger
⑤ Infringement of the intellectual property rights (including, but not limited to, copyright, design rights, utility model rights, trademark rights, patent rights and know-how) or other rights of the Company, participating merchants, other users or third parties
⑥ Illegally infringing, or posing a risk of infringing, the rights or interests of Participating Stores, other users or third parties
⑦ Interfering with the operation of Haya Pass, or damaging our reputation
⑧ Making false declarations when registering as a Haya Pass member
⑨ Registering multiple Haya Pass accounts
⑩ The unauthorised acquisition or use of login accounts, etc. (including allowing other users or third parties to use them)
⑪ Using Haya Pass functions for the purpose of meeting members of the opposite sex with whom you have no prior acquaintance
⑫ Using the same Haya Pass ticket multiple times (regardless of the method, such as capturing a screenshot of the Haya Pass ticket and reusing the image) or any other unauthorised or improper use of Haya Pass
⑬ Acquiring free Haya Pass for the purpose of resale or other commercial gain
⑭ Acquiring free Haya Pass in large quantities beyond reasonable necessity, or engaging in acts to circumvent restrictions on the number of free Haya Pass that may be acquired or other acquisition conditions set by the Company or participating stores
⑮ Acquiring free Haya Pass using false information or another person's information
⑯ Any other acts deemed inappropriate by the Company
2. Should any of the circumstances set out in the following items arise with respect to a user, the Company shall be entitled to suspend the user's use of Haya Pass or take such other measures as the Company deems appropriate (hereinafter referred to as "Suspension Measures"). Furthermore, suspension measures may be taken at our discretion and judgement, regardless of whether the user is at fault, and we shall not provide any explanation to the user regarding the reasons for taking such measures, regardless of the circumstances. Furthermore, we shall not be liable for any damages incurred by the user as a result of suspension measures.
① Where the User falls under any of the items listed in the preceding paragraph;
② Where the Company determines that the User has any form of association or involvement with anti-social forces (such as organised crime groups, members of organised crime groups, right-wing organisations, associates of organised crime groups, corporate extortionists, or other similar entities), or is cooperating with or involved in the maintenance, operation, or management of such anti-social forces through the provision of funds or other means.
1. Should a Haya Pass Member wish to withdraw from the service, they shall follow the withdrawal procedure prescribed by the Company.
2. Upon completing the withdrawal procedure, the Haya Pass Member shall forfeit all rights and benefits relating to their login account and other details used with the Company.
3. Please note that any fees already paid by the User to the Company prior to the withdrawal procedure under this Article shall not be refunded.
4. If, at the time of the withdrawal procedure, the user has any outstanding debts to participating stores or other parties through us or Haya Pass, the user must settle such debts immediately.
Even if a user loses their Haya Pass membership status due to withdrawal or other reasons, Articles 6 (Registration and Management of Login Accounts, etc.), Article 9 (Restrictions on Use of Haya Pass), Article 11 (Disclaimer), Article 13 (Copyright, Property Rights and Other Rights), Article 14 (Prohibited Acts), this Article, Article 17 (Assignment of Rights and Obligations), Article 19 (Severability) and Article 20 (Governing Law and Jurisdiction) shall remain in full force and effect.
1. Unless the Company has given its prior written consent, the User shall not allow a third party to succeed to their status under these Terms, nor shall they assign, transfer, or offer as security all or part of the rights and obligations arising from these Terms to a third party.
2. In the event that the Company transfers the business relating to Haya Pass to a third party (including, but not limited to, a business transfer, company split or any other form of transfer), the Company may transfer its contractual status with the User, as well as the User's registration information, etc., to the transferee in connection with such transfer, and the User shall be deemed to have consented in advance to such transfer under this paragraph.
1. The Company may amend these Terms in accordance with the provisions of Article 548-4 of the Civil Code, and the amended Terms shall take effect from the effective date determined at the Company's discretion.
2. In the case referred to in the preceding paragraph, the Company shall notify the User of the details of the amendment to these Terms and the effective date at a reasonable time at least one month prior to the effective date. Users shall use Haya Pass at their own risk after confirming the latest version of these Terms and Conditions.
3. If a User does not agree to the amended Terms and Conditions, they must immediately cease using Haya Pass and cancel their membership. If a User continues to use Haya Pass after the amendment of these Terms and Conditions, such User shall be deemed to have agreed to the amended Terms and Conditions.
Even if any provision or part thereof of these Terms is deemed invalid under the Consumer Contract Act or other laws and regulations, the remaining provisions of these Terms and the remaining parts of the provision deemed invalid shall remain in full force and effect.
These Terms and Conditions shall be interpreted in accordance with Japanese law, and the Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any and all disputes arising out of or in connection with these Terms and Conditions or Haya Pass.
