Haya Pass Terms of Use

Article 1 (Application)

1. These Terms of Use (hereinafter referred to as "Terms") are intended to define the rights and obligations between the Company and users regarding the use of the Haya Pass service (hereinafter referred to as 'Haya Pass') provided by Haya Pass Co., Ltd. (hereinafter referred to as "the Company"), and shall apply to all matters related to the use of Haya Pass between users and the Company.
2. Rules regarding the use of Haya Pass posted on the Company's website, etc., shall constitute a part of these Terms.
3. In the event of any inconsistency between the provisions of these Terms and the rules referred to in the preceding paragraph or other explanations of Haya Pass outside of these Terms, the provisions of these Terms shall take precedence.

Article 2 (Purpose)

Haya Pass is a service that allows users to purchase paid tickets (hereinafter referred to as "Haya Pass Tickets") to gain priority access to popular restaurants, facilities, events, etc. (hereinafter referred to as "Target Stores, etc.") and priority purchase of products. Haya Pass aims to maximize revenue for restaurants, etc., and provide users with the value of time.

Article 3 (Overview of Haya Pass)

1. Haya Pass is a platform service that provides users with a "marketplace" for purchasing Haya Pass Tickets from Target Stores, etc., and provides information about Target Stores, etc.
2. The purchase of Haya Pass Tickets by users through Haya Pass is conducted directly between the user and the Target Store, etc. We are not a party to transactions involving Haya Pass Tickets and assume no responsibility for such transactions. Therefore, in the event of any issues arising from transactions with participating stores, users are responsible for resolving such issues directly with the participating stores.

Article 4 (License Grant)

We grant users permission to use Haya Pass and the content and information provided through Haya Pass for non-commercial purposes, provided that users comply with these Terms of Use.

Article 5 (Membership Procedures)

1. Users shall register as Haya Pass members (hereinafter referred to as "Haya Pass Members") in accordance with the procedures specified by us.
2. Users shall register accurate information when registering under the preceding paragraph.
3. Users shall promptly update their registration information if there are any changes to the registered information after completing the registration procedure under paragraph 1.

Article 6 (Registration and Management of Login Accounts, etc.)

1. Users shall register and manage their login accounts and passwords (hereinafter referred to as "login accounts, etc.") at their own risk, and the Company shall not be liable for any damages arising from insufficient management, operational errors, or use by third parties. Users shall use Haya Pass at their own risk and shall comply with the provisions of the various terms and conditions stipulated by the Company regarding the use of Haya Pass. The Company shall not be liable for any damages arising from the use of Haya Pass or any disputes arising between the service operator and the user.

Article 7 (Purchase of Haya Pass Tickets)

1. Haya Pass members may purchase Haya Pass tickets from designated stores via the Haya Pass website using the method specified by the Company.
2. Only Haya Pass members who have purchased Haya Pass tickets may use Haya Pass.
3. The use of Haya Pass tickets is valid only at the designated stores, etc., and within the designated time period as stated on the ticket. Additionally, the use of purchased Haya Pass tickets is limited to a single use.
4. Haya Pass members shall pay the usage fees stated on the Haya Pass website as the consideration for purchasing Haya Pass tickets by registering a credit card designated by the company and making payment, or by other methods separately specified by the company, unless otherwise specified in these terms and conditions.
5. When Haya Pass members use Haya Pass tickets at designated stores, etc., they will be granted Haya Pass, which entitles them to priority purchasing rights for products at designated stores, etc., or priority access to the front of any waiting lines at designated stores, etc., or priority entry and admission (if there are multiple Haya Pass members who have purchased Haya Pass tickets for the same designated store and designated date and time, the order of priority among Haya Pass members will be determined by the order in which they used their Haya Pass tickets). This completes the provision of Haya Pass.

Article 8 (Cancellation of Haya Pass Tickets)

1. Except in cases where the company acknowledges its own negligence or where the designated store or facility temporarily closes after the purchase of a Haya Pass ticket, cancellations after the purchase of a Haya Pass ticket are not permitted under any circumstances.
2. Even if the Haya Pass ticket remains unused and expires, cancellation or refunds are not permitted.
3. Even if there is no line when the user visits the target store, etc., we will not accept cancellations or refunds for Haya Pass tickets.
4. Whether or not the user actually uses the target store, etc., is solely at the discretion of the Haya Pass member after the Haya Pass is provided, and is not subject to cancellation or refund of the ticket.

Article 9 (Restrictions on Haya Pass Use)

1. Users shall not use Haya Pass or access Haya Pass for the purpose of engaging in business activities or other profit-seeking activities, or for the purpose of preparing for such activities. Users shall also not use or access Haya Pass for the purpose of religious or political activities.
2. If a user derives any benefit from the information posted on Haya Pass, the Company shall have the right to claim an amount equivalent to such benefit as damages from the user. However, if the Company suffers damages exceeding the amount equivalent to such benefit, the Company shall not be prevented from claiming compensation for such damages.

Article 10 (Changes to Service Content)

1. The Company may arbitrarily determine or change the content of Haya Pass services at any time.
2. When changing the content of Haya Pass services, we will post the details of such changes on our website or other appropriate channels.

Article 11 (Disclaimer)

1. We make no guarantees regarding the accuracy of information related to participating stores or other entities. We shall not compensate users for any damages incurred as a result of such information.
2. We shall not intervene in any disputes between users and participating stores or other entities, or between users themselves. We shall not be liable for any damages incurred by users as a result of such disputes.
3. If we determine that there is sufficient reason to believe that a Haya Pass member has engaged in conduct that violates these Terms of Use or is likely to violate them, we may forcibly cancel the registration of such member. We shall not be liable for any damages incurred by users as a result of such registration cancellation.
4. We shall not be liable for any damages incurred by users in connection with the use of Haya Pass. However, if the contract between us and the user falls under the Consumer Contract Act and we are liable for damages based on breach of contract or tort in connection with the use of this service, we shall be liable to compensate the user for ordinary damages that have directly and actually occurred, except in cases of intentional or gross negligence.
5. To use Haya Pass, users must have access to the internet. Users are responsible for preparing and operating the necessary equipment and software at their own expense to access the internet, and we do not assist in any way with the preparation or methods for accessing the internet. Additionally, we shall not bear any costs incurred by users for communication fees related to the use of Haya Pass or for inquiries made to us.

Article 12 (Suspension of Service Provision)

1. If we determine that any of the following circumstances apply, we may change the content of Haya Pass or temporarily suspend the provision of Haya Pass for the period necessary to ensure the normal provision of Haya Pass, after giving prior notice to users. However, in cases where prior notice is difficult, such as when we determine that there is an urgent need to suspend the provision of services, we may substitute this with a subsequent notice to users.
① When performing maintenance, inspection, or updates of Haya Pass
② When the provision of Haya Pass becomes difficult or impossible due to force majeure such as fire, power outage, or natural disasters
③ When sudden failures or other issues occur with Haya Pass
④ When the provision of Haya Pass becomes difficult or impossible due to unforeseen circumstances
⑤ In addition to the above, when we deem it necessary to suspend the provision of Haya Pass
2. We shall not be liable for any damages incurred by users as a result of the suspension of Haya Pass in accordance with the provisions of the preceding paragraph.

Article 13 (Copyrights, Property Rights, and Other Rights)

1. All copyrights (including the rights specified in Articles 27 and 28 of the Copyright Act), trademark rights, and other intellectual property rights, as well as other property rights related to the content, individual information, trademarks, images, advertisements, designs, etc. contained in Haya Pass belong to us or the legitimate rights holders, including the relevant stores.
2. Users may not reproduce, edit, modify, post, reprint, publicly transmit, distribute, sell, provide, translate, adapt, or otherwise use Haya Pass or its contents in any manner, except when authorized by us or a third party holding copyrights, other intellectual property rights, or other property rights, or when permitted by law without the rights holder's authorization.
3. We shall not be liable for any damages incurred by users as a result of violating the preceding provisions. Additionally, if users derive any benefits from such violations, we shall have the right to claim the equivalent amount of such benefits as damages. However, if damages exceeding the equivalent amount of such benefits are incurred by us, we shall not be prevented from claiming compensation for such damages.

Article 14 (Prohibited Acts)

1. We prohibit users from engaging in the following acts when using Haya Pass.
① Except as specifically permitted by law, this Agreement, or the Guidelines, copying, reproducing, transmitting, transferring, distributing, disseminating, reselling, or storing for the purpose of using the information provided by Haya Pass without our prior written consent.
② Violating this Agreement (including the terms of external payment service providers) or the guidelines.
③ Violating public order and morality.
④ Engaging in illegal acts, criminal acts, or acts that pose a serious danger, or promoting such acts.
⑤ Infringing upon the intellectual property rights (including but not limited to copyrights, design rights, utility model rights, trademark rights, patent rights, and know-how) or other rights of our company, participating stores, other users, or third parties
⑥ Illegally infringing upon or posing a risk of infringing upon the rights or interests of participating stores, other users, or third parties
⑦ Interfering with the operation of Haya Pass or damaging our reputation
⑧ Making false declarations when registering for Haya Pass membership
⑨ Registering for multiple Haya Pass memberships
⑩ Illegally obtaining or using login accounts, etc. (including allowing other users or third parties to use them)
⑪ Using Haya Pass functions for the purpose of meeting strangers of the opposite sex
⑫ Using the same Haya Pass ticket multiple times (including but not limited to taking screenshots or other images of the ticket and reusing them) or other improper or unfair use of Haya Pass
⑬ Other acts deemed inappropriate by the Company
2. If any of the following circumstances arise due to the user, the Company may take measures such as suspending the use of Haya Pass or other measures deemed appropriate by the Company (hereinafter referred to as "suspension measures"). Please note that suspension measures may be taken at our discretion and judgment regardless of whether the user is at fault, and we will not respond to users regarding the reasons for taking suspension measures under any circumstances. Furthermore, we shall not be liable for any damages incurred by users as a result of suspension measures.
① If the user falls under any of the items in the preceding paragraph
② If the user is determined by us to be involved in any form of association or collaboration with antisocial forces (including, but not limited to, organized crime groups, organized crime members, right-wing organizations, individuals associated with organized crime groups, meeting brokers, or other similar entities), or to have provided financial support or otherwise contributed to the maintenance, operation, or management of antisocial forces

Article 15 (Withdrawal Procedures)

1. If a Haya Pass member wishes to withdraw, they shall follow the Company's prescribed withdrawal procedures.
2. Upon completing the withdrawal procedures, Haya Pass members shall lose all rights and benefits related to their login accounts and other services provided by the Company.
3. Please note that any fees already paid to the Company by the user prior to the withdrawal procedures under this article shall not be refunded.
4. If the user has any outstanding debts to the target store or other parties through our company or Haya Pass at the time of withdrawal, the user must immediately settle such debts.

Article 16 (Continuation of Effect)

Even if the user loses their Haya Pass membership status due to withdrawal or other reasons, the provisions of Article 6 (Registration and Management of Login Accounts, etc.), Article 9 (Restrictions on Use of Haya Pass), Article 11 (Disclaimer), Article 13 (Copyright, Property Rights, and Other Rights), Article 14 (Prohibited Acts), this Article, Article 17 (Assignment of Rights and Obligations), Article 19 (Severability), and Article 20 (Governing Law and Jurisdiction) shall remain in effect.

Article 17 (Assignment of Rights and Obligations)

1. Users shall not assign their status under this Agreement to a third party, or assign, transfer, or pledge all or part of the rights and obligations arising from this Agreement to a third party without our prior written consent.
2. If we transfer the business related to Haya Pass to a third party (including, but not limited to, business transfers, company splits, or other forms of transfer), we may transfer the contractual status with users and their registration information to the transferee, and users hereby agree in advance to such transfer.

Article 18 (Amendment of This Agreement)

1. We may amend these Terms in accordance with the provisions of Article 548-4 of the Civil Code, and the amended Terms shall take effect on the effective date determined by us at our discretion.
2. In the case of the preceding paragraph, the Company shall notify users of the content of the amendment to these Terms and the effective date at least one month prior to the effective date. Users shall confirm the latest content of these Terms at their own responsibility and use Haya Pass accordingly.
3. If a user does not agree to the amended Terms, they shall immediately cease using Haya Pass and withdraw from the service. If a user continues to use Haya Pass after the amendment of these Terms and Conditions, such user shall be deemed to have agreed to the amended Terms and Conditions.

Article 19 (Severability)

Even if any provision or part thereof of these Terms and Conditions is deemed invalid under the Consumer Contract Act or other laws and regulations, the remaining provisions of these Terms and Conditions and the remaining parts of the provision deemed invalid shall remain in full force and effect.

Article 20 (Governing Law and Jurisdiction)

These Terms shall be interpreted in accordance with Japanese law, and any disputes arising from these Terms or Haya Pass shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
