Article 1 (Application)

These Haya Pass Terms of Use (hereinafter referred to as "Terms") shall be governed by and construed in accordance with the laws of Japan, as set forth by Haya Pass Co. This Haya Pass Terms of Use (hereinafter referred to as the "Terms") applies to the Haya Pass service provided by Haya Pass Co. (hereinafter referred to as "the Company"), which sets forth the rights and obligations between the Company and the User regarding the use of the Haya Pass service (hereinafter referred to as "Haya Pass"). (hereinafter referred to as "the Company") and shall apply to all relationships related to the use of Haya Pass between the user and the Company.
The rules regarding the use of Haya Pass posted by the Company on the Company's website, etc. shall constitute a part of these Terms and Conditions.
In the event of any discrepancy between the terms and conditions of this Agreement and the rules and other explanations provided by Haya Pass outside of this Agreement, the provisions of this Agreement shall take precedence over the terms and conditions of this Agreement.

Article 2 (Purpose)

Haya Pass is a service that allows users to purchase paid tickets (hereinafter referred to as "Haya Pass TICKETS") Haya Pass is a service that allows users to purchase paid tickets ("Haya Pass TICKETS") to gain priority entry to restaurants and other establishments that have long lines. The purpose of Haya Pass is to maximize revenue for restaurants, etc. and to provide users with the value of their time.

Article 3 (License to Use)

We grant you permission to use Haya Pass and the content, information, etc. provided through Haya Pass for non-commercial purposes, if you comply with these Terms of Use.

Article 4 (Membership Procedures)

1. a user shall follow the procedures prescribed by the Company to register as a member of Haya Pass (Hereinafter referred to as "Haya Pass member") 1. Users shall register as a member of Haya Pass ("Haya Pass Member") in accordance with the procedures prescribed by the Company.
Users shall register accurate information in the registration process described in the preceding paragraph.
3. the user shall promptly update the registration details if there is any change in the registration details after the registration procedure in Paragraph 1.

Article 5 (Registration and Management of Login Accounts, etc.)

1. you shall be responsible for the registration and management of your login account and password (hereinafter referred to as "login account, etc."). The Company shall not be liable for any damage caused by the User's insufficient management, error in use, or use by a third party. In addition, Users shall use Haya Pass at their own risk and shall follow the provisions of each agreement stipulated by the Company regarding the use of Haya Pass. The Company shall not be liable for any damage caused using Haya Pass, or any trouble between the operator of such service and the user.

Article 6 (Purchase of Haya Pass Ticket)

1. Haya Pass members may purchase Haya Pass tickets on the Haya Pass website.
2. only Haya Pass members who have purchased Haya Pass tickets are eligible to receive Haya Passes.
The Haya Pass ticket is valid for use only during the applicable date and time at the store indicated on the ticket. The purchased Haya Pass ticket can be used only once.
Unless otherwise stipulated in these Terms and Conditions, Haya Pass Members shall pay the fees indicated on the Haya Pass Website for the purchase of Haya Pass tickets by registering a credit card designated by the Company or by a method separately determined by the Company.
When a Haya Pass member uses a Haya Pass ticket at a participating store, the Haya Pass will be provided and the Haya Pass member will be directed to the front of the queue at the participating store (if there are multiple Haya Pass members who have purchased Haya Pass tickets at the same participating store and on the same date and time, the first to last among the Haya Pass members will be the first to use the Haya Pass ticket. The order of precedence among Haya Pass members will follow the order of precedence of Haya Pass ticket usage.) (2) The Haya Pass service will not be completed. This completes the provision of Haya Pass.

Article 7 (Cancellation of Haya Pass Ticket)

1. Cancellation after purchase of a Haya Pass ticket is not allowed under any circumstances, except in cases where the Company deems that the Company is at fault or the participating store is temporarily closed after the purchase of a Haya Pass ticket.
2. no cancellations or refunds will be made after the expiration date of the Haya Pass ticket has passed without being used.
3. the Company will not cancel or refund a Haya Pass ticket even if there is no queue when the user visits the participating store.
4. whether or not to eat, drink, etc. in the participating restaurant is merely a voluntary choice of the Haya Pass member after the Haya Pass is provided, and is not subject to cancellation or refund of the ticket.

Article 8 (Restrictions on Use of Haya Pass)

1. Users shall not use or access Haya Pass for the purpose of business activities or other profit-oriented activities, or similar activities or preparatory activities for such activities. Users shall also not use or access Haya Pass for the purpose of religious or political activities.
If a user gains a profit from the use of information posted on Haya Pass, the Company shall have the right to claim as damages to the Company an amount of money equivalent to such profit. However, if the Company incurs damages more than the amount equivalent to such profits, the Company shall not be precluded from claiming compensation for such damages.

Article 9 (Change of Service Contents)

1. The Company may determine the content, etc. of Haya Pass services at its discretion or change them at any time.
Whenever the Company changes the service contents, etc. of Haya Pass, the Company shall post such changes on the Company's website, etc.

Article 10 (Disclaimer)

The Company makes no guarantee as to the accuracy of the information regarding restaurants, etc. posted on the Website. The Company will not compensate for any loss or damage incurred by the user because of information regarding the restaurants, etc. posted on the site.
The Company will not be involved in any trouble between users and restaurants, or between users and other users. We will not compensate for any damages incurred by the user as a result of such problems.
If the Company has reasonable grounds to believe that a user has committed or may commit an act in violation of this Agreement, the Company may forcibly terminate the registration of the Haya Pass member who has committed such an act. The Company shall not be liable for any damages incurred by the user because of such termination of registration.
3. the Company shall not be liable for any damages incurred by the user in connection with the use of Haya Pass. However, if the contract between the Company and a user falls under a consumer contract under the Consumer Contract Act, and the Company is liable for damages based on default or tort with regard to the use of the Service, the Company shall be liable for compensation only for ordinary damages directly and actually incurred by the user, except in cases of intentional or grossly negligent acts. In the event of default or tort, we shall be liable to compensate only for ordinary damages directly and actually incurred by the user.
Users must have access to the Internet to use Haya Pass. Users must prepare and operate the necessary equipment and software to access the Internet at their own responsibility and expense, and the Company shall not be involved in any way in the preparation or method of access to the Internet. The Company shall not be liable for any communication costs incurred by the User in using Haya Pass or any costs incurred by the User in making inquiries, etc. to the Company.

Article 11 (Suspension of Service)

1. If the Company deems that there is any of the following reasons, the Company may change the contents of Haya Pass or temporarily suspend the provision of Haya Pass for the period necessary for the normal provision of Haya Pass, upon prior notice to the User. However, in cases where prior notice is difficult to give, such as when it is deemed highly necessary to suspend the service urgently, Haya Pass may replace such suspension with a subsequent notice to the User.
(i) To maintain, inspect, or update Haya Pass
(ii) When it is difficult or impossible to provide Haya Pass due to force majeure such as fire, power outage, natural disaster, etc.
(iii) In the event of a sudden failure, etc. of the Haya Pass
(iv) When it is difficult or impossible to provide Haya Pass due to unforeseen circumstances
(v) In addition to the preceding items, when the Company deems it necessary to suspend the provision of Haya Pass.
2. we will not compensate for any damage incurred by the user because of the suspension of the provision of Haya Pass in accordance with the preceding paragraph.

Article 12 (Copyrights, Property Rights and Other Rights)

Copyrights (including the rights stipulated in Articles 27 and 28 of the Copyright Act), trademarks, and other intellectual property rights, and other property rights related to the content, individual information, trademarks, images, advertisements, designs, etc., contained in Haya Pass belong to the Company or other legitimate right holders. (including the rights stipulated in Articles 27 and 28 of the Copyright Act), trademarks and other intellectual property rights, and all other property rights related to the content, individual information, trademarks, images, advertisements, designs, etc. contained in Haya Pass belong to the Company or the rightful owner.
3. you may not reproduce, edit, modify, publish, reprint, publicly transmit, distribute, sell, provide, translate or adapt, or in any other way use or exploit Haya Pass or its contents, unless you are authorized to do so by us or by a third party holding copyright or other intellectual property rights or other property rights, or unless you are permitted by law to use or exploit Haya Pass without authorization from the rights holder. The reproduction, editing, modification, publication, reprinting, public transmission, distribution, sale, provision, translation/adaptation, or any other use or application of the Haya Pass or its contents is prohibited.
If a user has profited from such acts, we shall have the right to claim the amount equivalent to such profit as our company's damages. However, if the Company incurs damages more than the amount equivalent to such profits, the Company shall not be precluded from claiming compensation for such damages.

Article 13 (Prohibited Acts)

The Company prohibits the following acts in using Haya Pass. 1.
(i) Reproducing, duplicating, sending, transferring, distributing, distributing, reselling, or storing for any of these purposes any information provided by Haya Pass without our prior written consent, except as specifically permitted by law or under these Terms of Use or Guidelines.
(ii) Violation of these Terms and Conditions or Guidelines
(iii) Offensive to public order and morals
(iv) To lead to or encourage illegal, criminal, or seriously dangerous acts
(v) Infringing the intellectual property rights (including but not limited to copyrights, design rights, utility model rights, trademark rights, patent rights, and know-how) or other rights of the Company, other Users, or third parties
(vi) Illegally infringing or threatening to infringe on the rights or interests of other Users or third parties
(vii) Interfere with the operation of Haya Pass or damage the Company's credibility
(viii) Making a false declaration when registering as a Haya Pass member
(ix) Multiple Haya Pass member registrations.
(x) Unauthorized acquisition or unauthorized use of login accounts, etc. (including allowing other Users or third parties to use such accounts).
(11) Using the Haya Pass functions for the purpose of meeting someone of the opposite sex whom you have never met before.
⑫ Using the same Haya Pass ticket multiple times (regardless of the method used, such as taking a screenshot of the Haya Pass ticket and using it over and over) and other illegal or unfair use of Haya Pass.
⑬ Other things that we deem inappropriate
In the event of any of the following events by a User, the Company may suspend the use of Haya Pass or take any other action the Company deems appropriate (hereinafter referred to as "Suspension of Use") against such User. We will not respond to any reason for the suspension of use. In no event shall we be liable for any damages incurred by the user because of the suspension.
(i) If the User falls under any of the items of the preceding paragraph
(ii) If we determine that the User is involved in any interaction or involvement with antisocial forces, such as cooperation or involvement in the maintenance, operation, or management of antisocial forces through funding or other means (e.g., organized crime groups, organized crime members, right-wing groups, persons related to organized crime groups, general assemblymen, or other similar persons), or antisocial forces.

Article 14 (Withdrawal Procedure)

1. If a Haya Pass member wishes to cancel his/her membership, he/she shall follow the prescribed cancellation procedure of the Company.
2. Haya Pass members shall lose all rights and privileges related to their login account and any other privileges they had with the Company when they cancel their membership.
Please note that any fees already paid by the user to the Company prior to the withdrawal procedure in this Article will not be refunded.
If there are any debts owed to us in connection with the withdrawal procedure, the user must pay such debts immediately.

Article 15 (Duration of Effect)

Even if a User loses his/her qualification as a Haya Pass member due to withdrawal from membership or other reasons, Article 5 (Registration and Management of Login Account, etc.), Article 8 (Restrictions on Use of Haya Pass), Article 10 (Disclaimer), Article 12 (Copyright, Property Rights and Other Rights), Article 13 (Prohibited Acts), this Article, Article 16 (Transfer of Rights and Duties) Article 18 (Severability) and Article 19 (Governing Law and Jurisdiction) shall remain in full force and effect.

Article 16 (Assignment of Rights and Obligations)

1. you shall not, without our prior written consent, allow a third party to succeed to your t-tailored status under this Agreement, or assign, assume, or pledge as collateral all or part of your rights and obligations arising from this Agreement to any third party.
In the event that the Company transfers the business of Haya Pass to a third party (regardless of the form of the transfer, such as business transfer, company split, etc.), the Company may transfer the contractual status with the User and the User's registration information, etc. to the transferee in connection with such transfer, and the User shall consent to such transfer in advance in this paragraph. The User shall be deemed to have agreed in advance to such transfer in this paragraph.

Article 17 (Modification of these Terms and Conditions)

The Company may modify the Terms and Conditions, and the modified Terms and Conditions shall become effective as of the effective date determined at the discretion of the Company.
2. In the case of the preceding paragraph, the Company shall notify the User of the contents of the modification of the Terms of Use and the effective date of the modification at least one month prior to the effective date of the modification. Users shall use Haya Pass after confirming the latest contents of this Agreement at their own responsibility.
3. If a user does not agree to the modified Terms of Use, the user must immediately stop using Haya Pass and cancel his/her membership. If the User continues to use Haya Pass after the modification of these Terms of Use, such User shall be deemed to have agreed to these Terms of Use after the modification.

Article 18 (Severability)

Even if any provision of these Terms and Conditions or part thereof is determined to be invalid under the Consumer Contract Act or other laws and regulations, the remaining provisions of these Terms and Conditions and the remainder of the provisions that are determined to be invalid in part shall remain in effect.

Article 19 (Governing Law and Jurisdiction)

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, and the Tokyo District Court shall have exclusive jurisdiction in the first instance over all disputes related to these Terms and Conditions and Haya Pass.
